January 21, 2010:  A major combined meeting of the MountainWest Capital Network, National Association of Corporate Directors, Utah Technology Council
 
Moderator:
 Jim Jensen - CEO, ClearWater Governance Group 
 
Panelists:
 
Stan Kanarowski - Director of Park City Angels and serial start-up entrepreneur.
 
Ralph Atkins - Founder and current Board Member of SkyWest, CEO during the inception of Ghana’s new (2004) international airline; co-founder and former board member of several other companies, including Café Rio.
 
Tom Parks - frequent outside director including: Utah Symphony, Navagen and NPS Pharmaceuticals & VP Research at U of U and President and director at UURF.
 
This meeting will show how to get GOOD Directors and how to get GOOD work from them.  An experienced panel will discuss this topic and answer your questions.  Jim Jensen will moderate the Panel discussion.
 
Attendees should expect answers to topic questions including the following:
  • Why does a private company need a functioning board of directors?
  • What are the risks & rewards of getting on your board someone you don't know?
  • How can you get diversity (age, gender, background) on the Board and why do you want it; and why do you not?
  • If you can add only one new director, how do you choose between experience, diversity and technical know-how?
  • What can you do if your Board isn't working? Or isn't working hard enough?
  • What can be done to teach Management and the Board their separate roles?
  • What issues/questions get to the Board?  Who decides?
  • How do you keep the Directors informed without inviting them to meddle?
  • How much do you pay a director in cash?  In stock?  Can you minimize tax impact?
  • What is a good size for a Board of Directors?
  • How do you identify and recruit new members to your Board?
